Terms & Conditions
These Terms & Conditions (“Terms”) are a contract between ISGC HOLDING PTE. LTD. (“Company”, “we”, “us”, “our”) and the person who creates or uses an account on Harborstay (the “Platform”).
“User”, “you”, and “your” mean the person in whose name the account is registered. If you use the Platform before an account exists, these Terms apply to that use as well.
1. Definitions and interpretation
1.1. In these Terms:
- Available Balance means the part of your Platform balance that is not held, frozen, or otherwise reserved.
- Booking means a task the Platform assigns to you, including a hotel booking presented for completion.
- Commission means the amount credited to your Platform balance for a Booking that you validly complete, as shown in the Platform before you submit it.
- Frozen Balance means principal we hold against an unfinished Booking or an unfinished Merged Deal.
- Merged Deal means a linked assignment of one or two hotel rooms, presented as one task and made up of consecutive Bookings in the same Set.
- Platform balance means the contractual record of amounts standing to your account for use on the Platform. It is not a bank deposit.
- Set means the group of Bookings assigned for one work cycle. Unless the Platform shows a different number for your account, a Set contains up to 38 Bookings and may include 1 to 4 Merged Deals.
- Singapore time means Singapore standard time (UTC+8).
- Working Day means a day other than a Saturday, Sunday, or Singapore public holiday, unless the Platform states that it is open on that day.
1.2. Headings are for convenience and do not affect interpretation.
1.3. Words after “including”, “for example”, or a similar expression are illustrative and do not limit the words before them.
1.4. A reference to a person includes an individual and a body corporate. A reference to a statute includes that statute as amended.
1.5. If these Terms are translated, the English version prevails unless mandatory local law requires otherwise.
2. Acceptance
2.1. By creating an account, accessing the Platform, or using it, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.
2.2. You agree that electronic acceptance is valid under the Electronic Transactions Act 2010 of Singapore. Our records of your acceptance, Bookings, Commissions, and balance are evidence of those matters unless you show a manifest error.
2.3. The account is held in one registered name. If more than one person controls or operates that account, each of those persons is jointly and severally liable for the obligations under these Terms. Sharing an account without our prior written consent is a breach.
3. Eligibility and account security
3.1. You must be at least 18 years old, or the age of majority where you live if that age is higher, and you must have legal capacity to enter a binding contract.
3.2. You must meet any further eligibility requirement we publish in the Platform, including any requirement that applies in your place of residence.
3.3. You must give accurate information and keep it current. You must not open an account for another person, open more than one account, or use another person’s identity.
3.4. You are responsible for your login credentials, your withdrawal password, and every act under your account. Tell us promptly through the contact details in Section 19 if you believe the account has been compromised. We may require identity, source-of-funds, or other checks before we allow a top-up, a withdrawal, or continued use.
4. Status of the relationship
4.1. These Terms govern use of the Platform. They do not create employment, partnership, joint venture, or agency between you and the Company. You have no authority to bind the Company.
4.2. If you and the Company sign a separate written employment agreement, that agreement governs employment. These Terms still govern the Platform. If the two conflict on a Platform operating rule, these Terms prevail. If they conflict on an employment right, the employment agreement prevails.
4.3. You are responsible for your own equipment, connectivity, and place of work.
5. Bookings and Sets
5.1. The Platform assigns Bookings. You do not choose the hotel, the price, the Commission, or the order of Bookings. Assignment follows the Platform’s rules and may differ between users and Sets. Availability of a Booking is not guaranteed.
5.2. A Set contains up to 38 Bookings, of which up to 4 may be Merged Deals, unless the Platform displays a different Set size for your account. You must complete every Booking in the Set assigned to you. “Up to 38” means the Set will not exceed 38 unless we tell you otherwise. It does not mean you may stop before the assigned Set is complete.
5.3. You must complete each assigned Booking within 24 hours after it is assigned to you.
5.4. You must not cancel, abandon, or cut short an assigned Booking. Early termination disrupts assignment of the Set. If you do not complete a Booking within the required time, or you attempt to end it early, we may leave it open, close it with no Commission, keep the related hold in place until it is resolved, or suspend new assignments.
5.5. You must follow the instructions shown for each Booking and all laws that apply to you. You must not submit false, manipulated, or fabricated information, ratings, reviews, or results.
5.6. A new Set becomes available only when the Platform opens it. That may be on a later calendar day, and only during published operating hours. Completing a Set does not by itself start the next Set.
6. Merged Deals
6.1. A Merged Deal links consecutive Bookings in the same Set and may combine one or two hotel rooms into that task. Merged Deals are often used where the hotel has a lower rating or a higher review requirement.
6.2. The principal for the first Booking in a Merged Deal may remain in Frozen Balance until you validly complete the whole Merged Deal. Commission on a Merged Deal is credited only when the whole Merged Deal is validly completed.
6.3. If a Booking or Merged Deal requires more than your Available Balance, the Platform will show the shortfall. You cannot submit that Booking until the shortfall is funded. We may refuse new Bookings while a shortfall is open.
6.4. A higher Commission on a Merged Deal is an incentive for completion. Any published range, including an indicative range of about 3% to 50%, is an illustration only. The Commission that applies is the figure shown in the Platform before you submit. We do not promise that any Merged Deal will fall at any point in that range.
7. Commission
7.1. Commission is earned only when you validly complete the Booking, or the whole Merged Deal, in accordance with these Terms and the instructions on screen.
7.2. The Commission for each Booking is displayed before you submit it. Rates may differ by Booking, tier, and conditions. A displayed estimate that is not the confirmed Commission for that Booking is not payable.
7.3. We do not promise any level of earnings, any number of Bookings beyond the Set we actually assign, or any particular outcome.
7.4. If a referral or affiliate reward is offered, the rules and rate shown in the Platform at the time of that reward apply. Nothing in these Terms promises a referral payment.
8. Minimum balance and top-ups
8.1. To start work and to continue receiving Bookings, you must keep an Available Balance of at least USD 50.
8.2. For the first 7 calendar days after the account is created, that minimum is USD 100. From day 8, Section 8.1 applies.
8.3. These minimums support continuity of assigned work. They are not a fee, and they are not a bank deposit.
8.4. Before you confirm a top-up, the Platform will show the method, the amount, any fee, and any refund condition. Where a top-up is refundable, the Platform will state the conditions, timing, and method of refund before you pay.
8.5. A top-up is available only after we accept it. One pending top-up may block another, where the Platform says so. We may reject a top-up that fails our checks or that we cannot match to your account.
8.6. Your Platform balance does not earn interest. It is a contractual ledger for Bookings and withdrawals under these Terms. It is not a deposit with a bank, it is not electronic money, and it is not protected by the deposit insurance scheme under Singapore law. We do not hold your balance as a trustee unless we agree that in writing.
9. Withdrawals
9.1. You may request a withdrawal of Available Balance during operating hours, subject to this Section 9 and to checks under Section 13.
9.2. Operating hours are 10:00 to 22:00 Singapore time. A request after 22:00 is treated as a request made on the next Working Day and is assessed against that day’s eligibility.
9.3. A withdrawal request is eligible only after you have completed every Booking in the current Set.
9.4. After a withdrawal is paid, your remaining balance must still meet the minimum that applies to you:
- during the first 7 calendar days after account creation, at least USD 100;
- from day 8, at least USD 50.
9.5. A request that would take the balance below the applicable minimum is declined automatically.
9.6. We may delay, refuse, or reverse a withdrawal where we need to complete identity, fraud, sanctions, or anti-money-laundering checks, where Section 13 applies, where payout details are missing or do not match the account, or where a payment partner or bank rejects the payment. Processing time depends on those checks and on the payment partner.
9.7. You must keep payout details accurate. We pay to the details recorded at the time of the request. If the Platform converts USD into another currency, the rate, any spread, and any receiving charge are those shown before you confirm, or those applied by the payment partner or receiving bank. You bear charges levied by your bank or payment provider.
9.8. We may set off any amount you owe us against your Platform balance before paying a withdrawal.
10. Prohibited conduct
You must not:
- (a) give false, misleading, or defamatory statements about the Platform, the Company, or its partners;
- (b) interfere with the Platform, probe or overload its systems, reverse engineer it, scrape it, or use it except through the interface we provide;
- (c) submit a review, rating, or other statement that is false or that breaches the law or the rules of a third-party service;
- (d) disguise your identity, location, device, or payment source, or use the Platform for money laundering, sanctions evasion, or any unlawful purpose;
- (e) attempt to manipulate assignment, Commission, holds, or withdrawals, including by collusion or by multiple accounts.
11. Intellectual property
11.1. The Platform and its contents are owned by us or our licensors. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Platform for its intended purpose while your account is in good standing. All other rights are reserved.
11.2. You grant us a non-exclusive, worldwide, royalty-free licence to use material you submit so that we can operate, secure, evidence, and improve the Platform. You retain any rights you already have in that material. You confirm that you have the rights needed to give this licence.
12. Your compliance
12.1. You are solely responsible for complying with laws that apply to your activity, including advertising, consumer-protection, tax, and review rules, and the rules of any third-party service you use.
12.2. We do not authorise you to breach a third party’s terms or to publish a statement that is untrue. You must not present a paid or assigned task as an independent or unsolicited opinion where that would be misleading.
12.3. We may suspend or close an account that breaches this Section 12, and we may seek any remedy available to us.
13. Investigations, freezes, and closure
13.1. We may investigate a suspected breach of these Terms, fraud, a chargeback, a sanctions issue, or an anti-money-laundering concern.
13.2. During an investigation we may freeze access to the account, to Bookings, and to the Platform balance to the extent reasonably required for the investigation.
13.3. If we confirm a breach, we may suspend or close the account, cancel affected Bookings, reverse Commission connected with the breach, and withhold amounts we reasonably consider connected with the breach, as permitted by law.
13.4. You may stop using the Platform at any time. Closure of the account does not release a Booking already assigned, a shortfall, or a fraud check. After closure and completion of checks, we will pay any remaining Available Balance that these Terms allow us to pay, less amounts you owe us and less any amount we are entitled to withhold.
14. Changes
14.1. We may change, suspend, or withdraw features of the Platform where reasonably required for operations, security, or legal compliance.
14.2. We may amend these Terms. Where the law requires notice of a material change, we will give that notice in the Platform or by email before the change takes effect. If you do not agree to a material change, you must stop using the Platform before the effective date. Continued use after that date is acceptance of the amended Terms.
15. Disclaimers
15.1. The Platform is provided “as is” and “as available”. We do not warrant that it will be uninterrupted, error-free, or fit for a particular purpose.
15.2. We do not promise a specific income, a specific Commission, or a specific number of Bookings beyond the Set actually assigned and completed under these Terms.
15.3. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Singapore law, including liability for death or personal injury caused by negligence, or liability for fraud or fraudulent misrepresentation.
16. Limitation of liability
16.1. Subject to Section 15.3, we are not liable for indirect, incidental, special, consequential, or punitive loss, or for loss of profits, revenue, data, or goodwill, whether or not we were advised of the possibility.
16.2. Subject to Section 15.3, our total liability arising out of the Platform or these Terms is limited to the greater of (i) USD 100 and (ii) the amounts you paid to us, net of withdrawals, in the three months before the event giving rise to the claim.
16.3. You acknowledge that the Platform’s fees and Commission structure reflect this allocation of risk.
17. Indemnity
You will indemnify the Company against claims, losses, liabilities, and reasonable legal costs arising out of your breach of these Terms, a statement you submit, or misuse of the Platform, except to the extent caused by our fraud or wilful misconduct. We will give you prompt notice of a third-party claim, and we will not settle that claim in a way that admits fault on your behalf without your consent, which you must not unreasonably withhold.
18. Governing law and disputes
18.1. These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of Singapore, excluding its conflict-of-law rules.
18.2. If a dispute arises out of these Terms, the parties will first try to resolve it by good-faith negotiation for 30 calendar days after one party gives the other written notice of the dispute.
18.3. If the dispute is not resolved in that period, it will be referred to arbitration in Singapore under the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC”), which are incorporated by reference. The tribunal will be one arbitrator appointed under those Rules. The language of the arbitration will be English. The seat of the arbitration will be Singapore.
18.4. The award is final and binding. Judgment on the award may be entered in any court of competent jurisdiction.
18.5. This Section 18 does not prevent the Company from seeking urgent injunctive or equitable relief from any competent court to protect its rights, confidential information, or intellectual property.
19. Notices and contact
19.1. We may give notices in the Platform, by email to the address on your account, or by another channel we designate. You must keep your contact details current. A notice is received when it is delivered in the Platform, 24 hours after an email is sent unless we receive a delivery-failure notice, or five Working Days after it is sent by registered post.
19.2. Contact for support and formal correspondence:
ISGC HOLDING PTE. LTD.25 Teck Whye Lane #11-166, Teck Whye Heights II, Singapore 680025
19.3. We will not ask for your password or full payment-card details through an unofficial channel. If a message is unexpected, contact support using the details above before you act on it.
20. Tax
20.1. You are responsible for taxes, duties, and similar charges arising from your earnings or use of the Platform, including income tax and goods and services tax where they apply.
20.2. You will give us accurate tax information and documents when we reasonably request them. Where the law requires, we may withhold tax from a payout, report the payout to a tax authority, and delay the payout until the requirement is met. Amounts withheld and remitted as required by law are not refundable by us.
21. General
21.1. If any provision of these Terms is held to be invalid, that provision is modified to the minimum extent needed to make it valid, or severed if modification is not possible. The remaining provisions continue in effect.
21.2. A failure or delay in enforcement is not a waiver. A waiver must be in writing to be effective.
21.3. You may not assign these Terms without our consent. We may assign them to an affiliate, or to a successor in a merger, reorganisation, or transfer of the Platform or its business.
21.4. A person who is not a party has no right under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce these Terms, except that our affiliates and successors may enforce a provision that is expressly for their benefit.
21.5. These Terms, together with the Privacy Policy and the rules shown in the Platform for a particular Booking, top-up, or withdrawal, are the entire agreement between you and the Company about the Platform. They replace earlier oral or written terms on that subject.
21.6. Sections 11, 15, 16, 17, 18, 20, and any accrued payment obligation survive closure of the account.
21.7. We are not liable for a delay or failure caused by an event beyond our reasonable control, including failure of a payment network, utility, or communications provider, or an act of government. If the event continues for more than 30 days, either party may close the account, and Section 13.4 then applies.
